Exclusive negotiations have commenced between the media conglomerate and the streaming behemoth for a blockbuster acquisition of its flagship entertainment operations, a move that could profoundly reshape the entertainment industry landscape.
An Intense Competition
The leading streamer is reportedly vying with other major players like Paramount Skydance and the cable giant, the owner of Universal Studios and Sky, for control of the legendary Hollywood institution, the prestigious HBO, and the Max streaming platform.
According to reports the company has proposed a substantial termination penalty of $5 billion if the acquisition not obtain antitrust approval in the US.
The Offer Details
As the company's stock sitting around approximately $24 per share, its total market valuation is estimated at roughly $60bn. It is believed Netflix's offer ranges from $28 and $30 per share, which suggests a total bid value in the range of $70bn to $75bn.
Industry experts have cautioned that this consolidation could trigger major competition issues, as it would combine two of the most dominant streaming services in the United States.
Assurances and Corporate Restructuring
In its proposal, the streamer has reportedly given guarantees that the legendary movie lot, home to major franchises like Harry Potter and Batman, would continue to enjoy wide theatrical releases.
Before any potential deal closing, Warner Bros Discovery is expected to complete a planned spin-off of its linear TV networks, such as CNN, TBS, and TNT.
An Entertainment Juggernaut
A successful acquisition, Netflix would gain ownership of HBO, the maker of critically acclaimed hits including Succession, The White Lotus, The Sopranos, and Game of Thrones, plus an vast archive of classic television.
Warner Bros officially began its sale process last fall after attracting overtures by several interested parties.
Industry Concerns
The potential sale has sparked controversy. Esteemed director James Cameron, director of Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "significant erosion of enduring worth" for the broader entertainment industry.
At first, Paramount Skydance had been considered the leading candidate. It had similarly proposed a $5 billion breakup fee contingent on approval issues.
Claims Regarding an Uneven Playing Field
Recently, the rival bidder argued in a letter that its bid was the one most poised to gain regulatory clearance. Additionally, the company accused the seller of running an "biased sales process" that unduly benefited its competitor, labeling it "compromised" in official documents.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the ongoing negotiations.
